Paramount Makes $108.4 Billion Cash Offer for Warner Bros. Discovery, Challenges Netflix Deal

Paramount Global has submitted a bold all-cash offer to acquire Warner Bros. Discovery (WBD), valuing the media giant at $108.4 billion and setting up a major corporate showdown with Netflix, which previously agreed to a merger arrangement with WBD.
The offer, announced on Monday, proposes to buy WBD at $30 per share, a dramatic 139% premium over the company’s September trading price of $12.54. Paramount’s proposal is being delivered through a tender offer, giving shareholders the option to accept the bid directly, bypassing WBD’s current leadership.
In its statement, Paramount described Netflix’s earlier agreement with Warner Bros. Discovery as “inferior and uncertain,” arguing that its own cash heavy structure provides shareholders with immediate value and far stronger guarantees.
If successful, the acquisition would create one of the largest entertainment conglomerates in global history, combining Paramount’s assets including CBS, MTV, Nickelodeon, Paramount Pictures, and its streaming arm, Paramount+ with Warner Bros. Discovery’s major properties such as CNN, HBO, DC Studios, and Warner Bros. Pictures.
Industry analysts say the move signals Paramount’s aggressive strategy to regain influence in a media landscape increasingly dominated by Netflix and Disney, while also accelerating consolidation across Hollywood’s streaming and studio sectors.
Warner Bros. Discovery’s board has not yet issued a formal response to Paramount’s bid, and the status of its earlier agreement with Netflix remains unclear. Market watchers expect intensified negotiations and potential counteroffers in what could become one of the most consequential media takeover battles in decades.
